1. Introduction
Welcome to Modassembly. These Terms of Service govern your use of our website and services. By using Modassembly, you agree to these terms.
2. Services Description
Modassembly is a service provider that builds custom AI Agents for businesses. Each deployment is a custom Claude agent purpose-built for the client's business workflows: customer service, executive assistance, bookkeeping, sales, marketing, data analysis, dispatching and similar operational roles. Our services include:
- Designing and building custom AI Agents (an AI Admin and AI Employees) for the client's business
- Hosting and operating these agents on our managed infrastructure
- Connecting the agents to the client's existing systems (CRMs, calendars, databases, payment systems, messaging platforms and similar tools)
- Ongoing maintenance, support and feature development
Build Process: Modassembly builds each AI Agent alongside the client, inside a WhatsApp, SMS, Telegram, Slack or Teams group with one of Modassembly's human engineers. Once the agent is configured and tested, we deploy it to the client's chosen channels under the client's own business identity.
The AI Admin: The AI Admin is one of the AI Agents that Modassembly builds for the client. Its primary role is to configure, coordinate and orchestrate the client's other AI Employees. It may also serve as a personal business assistant for the client (for example, calendar coordination, document drafts, internal communications, vendor follow-ups, customer escalations and similar tasks within the operation of the client's business). The AI Admin is a tool owned by the client and used to operate the client's business; it is not a general-purpose consumer AI assistant.
3. Service-Provider Relationship
Modassembly is retained by the client as a service provider to build, host, integrate, maintain and support the client's AI Agents. Each AI Agent is custom-built to the client's specifications for their specific business processes and operates as a tool the client uses to run their business. AI Providers (including Anthropic, the provider of the underlying Claude models) are engaged by Modassembly solely as sub-processors to power the client's AI Agents; Modassembly does not offer a standalone general-purpose AI assistant over any of the client's deployment channels. In this capacity:
- We process access to deployment channels and related data only on your behalf, under your instructions, and not for our own purposes
- Each client must provide their own platform accounts and credentials for their chosen deployment channels (e.g., WhatsApp Business Account and phone number, Slack workspace, email accounts). Modassembly does not provide or share platform accounts across clients
- The user-facing identity on every deployment channel belongs to your business; your business name, support information, and contact details are displayed to end users
- You own and retain full administrative control of your platform accounts at all times
- If you wish to transfer your accounts to another provider, we will assist with the transfer of control and related data within 30 days of your request
- We do not pre-create spare platform accounts for future customers
4. User Responsibilities
Users are responsible for:
- Providing their own platform accounts for their chosen deployment channels (e.g., WhatsApp Business Account and phone number, Slack workspace, email accounts)
- Providing accurate information about the AI Agents they want built and their business needs
- Having appropriate access rights to any tools, databases, or third-party services they wish the AI Agents to use
- Providing necessary API keys, credentials, and permissions for integrations to be completed successfully
- Requesting any integrations that are not currently available
- Participating in the build group with Modassembly's human engineers during the build process
- Testing each AI Agent with the AI credits included in their plan before full deployment
- Ensuring the AI Agents are used solely as tools to operate the client's business and not to provide a standalone, general-purpose AI assistant to end users
5. Channel and Platform Compliance
When using our services on any deployment channel, the following rules apply:
- You must comply with the terms of service and policies of each platform your AI Agents are deployed on
- You must obtain valid opt-in consent from end users before sending them messages through an AI Agent, where required by the platform
- You must honor all opt-out requests promptly
- The user-facing identity on every channel must clearly represent your business, not Modassembly
- For WhatsApp specifically: each client's AI Agents operate on the client's WhatsApp Business Account under the WhatsApp Business Solution Terms, with Modassembly retained by the client as a Third Party Service Provider. The AI Agents provide ancillary functionality in support of the client's business workflows and are not offered as a general-purpose AI assistant product. Messages sent outside the 24-hour customer-service window must use approved message templates, and all messaging must comply with the WhatsApp Business Solution Terms, the WhatsApp Business Messaging Policy, and the WhatsApp Commerce Policy
6. Intellectual Property
Custom integrations and configurations built specifically for your business are your property. Modassembly retains the right to keep a copy of such work for maintenance, support, and operational purposes. Modassembly owns the core platform, orchestration engine, and reusable frameworks that power the hosting and execution of client solutions. Your proprietary business data and information remain yours at all times.
7. Payment Terms
Our pricing structure is based on monthly subscriptions:
- Vertical AI Employee ($38 / $70 / $130 / $240 per month): 1 AI Admin, 1 dedicated AI Employee, automation of 1 business workflow end to end, 1-click deployment to WhatsApp, SMS, your website or Telegram, Human Engineer on-demand (first month free, then $1/minute, subject to availability), and $20 / $40 / $80 / $160 in AI credits at face value (no markup). 14-day free trial with $20 in AI credits.
- AI Workforce ($85 / $160 / $300 / $520 per month): Adds 3 more AI Employees (sales agent, marketing agent, data analyst and more), agent-to-agent communication, automation of 4 business workflows end to end, deployment to email, Slack, Teams and more, priority Human Engineer on-demand at $0.75/minute (first month free), and $50 / $100 / $200 / $400 in AI credits at face value. 14-day free trial with $50 in AI credits.
- Custom AI Fleet (custom pricing): Unlimited AI Admins, unlimited custom AI Employees, unlimited custom deployments, unlimited workflow automation, and a dedicated Human Engineer.
Plan Coverage and AI Credits: Plans cover AI Agent design and build, hosting, maintenance, support, and ongoing feature development. AI credits cover the cost of the underlying AI Models (e.g., Claude via Anthropic) that power your AI Agents and are passed through at face value with no markup. Usage above the included credits is billed at face value.
Build Model: On Vertical AI Employee and AI Workforce, you build your AI Agents alongside a Modassembly human engineer inside a WhatsApp, SMS, Telegram, Slack or Teams group. On Custom AI Fleet, our team designs, builds and deploys your AI workforce end to end.
All payments are non-refundable once work has commenced, except as outlined in our refund policy for specific circumstances.
8. Limitation of Liability
To the maximum extent permitted by law, Modassembly shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services. Modassembly's total aggregate liability under these Terms shall not exceed the fees paid by the client in the twelve (12) months preceding the event giving rise to the claim. This limitation does not apply to liability arising from fraud, willful misconduct, or breach of confidentiality obligations.
9. Service Guarantees
Modassembly will use commercially reasonable efforts to:
- Deliver automation solutions and integrations that function as specified in the service agreement
- Test each AI Agent using the AI credits included in your plan before full deployment
- Follow security and scalability best practices in all implementations
- Provide personalized customer support throughout your subscription period
- Respond to support requests and maintain your automation solutions
However, we cannot guarantee 100% uptime or functionality, as solution performance may be affected by third-party services, API changes, or factors outside our control.
10. Data Security and Access
We maintain strict security protocols when accessing your tools, APIs, and databases:
- Access is limited to what is necessary to build, integrate, host and operate your AI Agents
- We use secure authentication and access control methods
- All personnel with access to client data sign confidentiality agreements
- We never use your proprietary data, integrations, or configurations in other client projects
- We deploy and host your AI Agents on secure infrastructure
No Training on Your Data: Modassembly does not use Business Solution Data, or any other data we process on your behalf (including any anonymous, aggregate, or derived forms of that data), to create, develop, train, or improve any machine learning or artificial intelligence systems, models, or technologies, including large language models. The AI Models that power your AI Agents are operated solely on your behalf. Any fine-tuning, if performed, is for your exclusive use and is not used to train or improve any other AI Model.
Sub-processors: Modassembly engages Anthropic, PBC as a sub-processor to provide the underlying Claude models that power your AI Agents, along with hosting, payment-processing and similar operational sub-processors. A current list of sub-processors is available on request.
Client Responsibilities: It is your responsibility to revoke our access to your tools and systems if you terminate your subscription. We recommend using API keys with limited scopes and time-limited access tokens whenever possible.
11. Privacy Policy
Our privacy practices are detailed in our Privacy Policy. By using our services, you consent to the data practices described therein.
12. Termination and Account Transfer
Either party may terminate the service agreement with appropriate notice:
- Termination takes effect at the end of the current billing cycle
- Unused message credits are not refundable
- We host your automation solution, so termination means the hosted service will be discontinued unless migrated
- You retain ownership of all custom code, configurations, and integrations built for your business
- Upon request, we will provide you with your solution code and configurations to facilitate migration to another provider
- You are responsible for revoking our access to your tools, APIs, and systems upon termination
- Refunds for unused services may be provided at our discretion for exceptional circumstances
- Upon request, we will assist with the transfer of your platform accounts and related data to another provider within 30 days
13. Changes to Terms
Modassembly reserves the right to modify these terms at any time. Users will be notified of significant changes to these terms via email or through our website.
