1. Introduction

Welcome to Modassembly. These Terms of Service govern your use of our website and services. By using Modassembly, you agree to these terms.

2. Services Description

Modassembly builds custom AI Agents using Claude Sonnet 4.5 and the Claude Agent SDK. We specialize in creating AI Agents for non-technical people to streamline backoffice operations and customer service. Our services include:

  • Building custom AI Agents tailored to your specific business needs
  • Integrating your AI Agent with your existing tools and systems (CRMs, calendars, databases, payment systems, email services, and more)
  • Deploying and hosting the AI Agent for you
  • Multi-channel deployment (Web, WhatsApp, Email, SMS, Slack)
  • Ongoing customer support to keep your AI Agents working

Onboarding Process: Our onboarding is currently manual. We work closely with you to understand your requirements, build your custom AI Agent, and set up the necessary integrations. Any integration that is not yet available must be requested to us, and we will work to implement it as part of your service.

3. User Responsibilities

Users are responsible for:

  • Providing accurate information about their AI Agent requirements and business needs
  • Having appropriate access rights to any tools, databases, or third-party services they wish us to integrate with their AI Agent
  • Providing necessary API keys, credentials, and permissions for integrations to be completed successfully
  • Requesting any integrations that are not currently available
  • Communicating with us during the manual onboarding process
  • Testing the AI Agent with the provided $10 testing credit before full deployment

4. Intellectual Property

All code, configurations, and implementations created for your custom AI Agent remain the property of Modassembly. This includes AI Agent code, integration implementations, and configurations. You are granted a license to use the AI Agent during your active subscription period. Modassembly retains all rights to methods, processes, integration patterns, and AI Agent configurations, which may be used across multiple client projects. Your proprietary business data and information remain yours, but the code we create to access and process it belongs to Modassembly.

5. Payment Terms

Our pricing structure is based on monthly subscriptions:

  • Starter Plan ($50/month): 1 AI Agent, $50 worth of messages per month, $10 worth of messages for testing, access to Claude Sonnet 4.5 and the Claude Agent SDK, 3 AI Actions per agent, personalized customer support. Payment due monthly in advance.
  • Professional Plan ($100/month): 1 AI Agent, $130 worth of messages per month, $10 worth of messages for testing, access to Claude Sonnet 4.5 and the Claude Agent SDK, 4 AI Actions per agent, personalized customer support. Payment due monthly in advance.
  • Enterprise Plan (Custom pricing): Multiple AI Agents, custom message volume, access to Claude Sonnet 4.5 and the Claude Agent SDK, unlimited AI Actions, priority support and dedicated account manager. Pricing negotiated based on requirements.

Message Credits: Message credits represent the API usage costs for AI Agent conversations. The amount of conversations you can have depends on message length and complexity. Unused credits do not roll over to the next billing period.

AI Actions: AI Actions are specific integrations or capabilities added to your AI Agent (e.g., updating a CRM, sending emails, querying a database, processing payments). Each plan includes a set number of AI Actions.

All payments are non-refundable once work has commenced, except as outlined in our refund policy for specific circumstances.

6. Limitation of Liability

Modassembly provides services "as is" without warranties of any kind. We are not liable for any damages arising from the use of our services or AI Agents beyond the fees paid for the service. Our liability is limited to the direct costs of the AI Agent service provided.

7. Service Guarantees

Modassembly guarantees that:

  • Custom AI Agents and integrations will function as specified in the service agreement at the time of delivery
  • We provide comprehensive testing of all AI Agent functionality using the $10 testing credit included in your plan
  • We follow security and scalability best practices in all implementations
  • Personalized customer support is available throughout your subscription period
  • We use staff+ software engineers with 10+ years of experience in applied ML and AI
  • We respond to support requests and work to keep your AI Agents functioning properly

However, we cannot guarantee 100% uptime or functionality, as AI Agent performance may be affected by third-party services, API changes, or factors outside our control.

8. Data Security and Access

We maintain strict security protocols when accessing your tools, APIs, and databases:

  • Access is limited to what is necessary to complete the custom AI Agent development and integration work
  • We use secure authentication and access control methods
  • All team members handling client data sign confidentiality agreements
  • We never use your proprietary data, integrations, or configurations in other client projects
  • We deploy and host your AI Agent on secure infrastructure

Client Responsibilities: It is your responsibility to revoke our access to your tools and systems if you terminate your subscription. We recommend using API keys with limited scopes and time-limited access tokens whenever possible.

9. Privacy Policy

Our privacy practices are detailed in our Privacy Policy document. By using our services, you consent to the data practices described in our Privacy Policy.

10. Termination

Either party may terminate the service agreement with appropriate notice:

  • Termination takes effect at the end of the current billing cycle
  • Unused message credits are not refundable
  • We deploy and host your AI Agent, so termination means the hosted service will be discontinued
  • Your license to use the AI Agent ends upon termination
  • All code, configurations, and implementations remain the property of Modassembly
  • You are responsible for revoking our access to your tools, APIs, and systems upon termination
  • Refunds for unused services may be provided at our discretion for exceptional circumstances

11. Changes to Terms

Modassembly reserves the right to modify these terms at any time. Users will be notified of significant changes to these terms via email or through our website.
